Software License and Limited Product Warranty
The use of this software is subject to certain terms and conditions. Please read the following license summary and limited warranty before you use this software.
This software is not for sale. Transparent Language, Inc. ("TLI") retains ownership and your use of it is restricted by the terms of the license pursuant to which this software is made available to you ("License").
Certain fonts are licensed products (c) 1995 - 1999 Payne Loving Trust. All rights reserved. By copyright law, these fonts may not be copied for others or modified. For further information about fonts available for license for over 400 languages from Linguist's Software at a 20% discount, call 425-775-1130.
The product you may license consists of intangible software and various tangible components including programmed magnetic media and programmed audiocassettes, if applicable, (collectively, the "Software"). The Software provided on magnetic or other media is subject to the following license terms and conditions and limited warranty (the "Agreement"). This Agreement constitutes the entire agreement and understanding between the parties and supersedes any prior agreement or understanding, whether oral or written, related to the subject of this Agreement. This Agreement may only be modified by a written agreement signed by TLI.
SINGLE COPY SOFTWARE LICENSE
THIS IS A SINGLE COPY SOFTWARE LICENSE granted by TRANSPARENT LANGUAGE, INC., a New Hampshire corporation with its mailing address at 9 Executive Park Drive, Merrimack, NH 03054 USA.
1.1 The Software may be recorded on magnetic media. The Software is licensed to you as the end user. It is not sold.
1.2 The Software contains copyrighted material, trade secrets and other proprietary information and material.
1.3 You may use the Software on any compatible computer so long as it is installed and used on only one computer at a time. You must pay a license fee for each additional computer on which it is installed or used unless you have contracted with TLI for additional licenses. Contact TLI at 603-262-6300 for information regarding additional licenses.
1.4 You may make no more than one (1) copy of the Software, recorded on magnetic media, for backup purposes. Any such copy, together with the original, must be kept in your possession or control and used only with the selected computer.
1.5 You may not make any changes or modifications to the Software and you may not decompile, disassemble, or otherwise reverse engineer the Software. You may not use it on a computer network unless it is used with only one computer.
1.6 You may not sell, loan, rent, sub-license or otherwise transfer the Software or make it available for use by others in any time-sharing, service bureau, Internet, or similar arrangement, except that you may permanently transfer the Software to another user if you transfer the documentation and all magnetic media and other equipment and the other user agrees to the terms and conditions of this Agreement. If you acquired the Software preloaded on a computer, you may not transfer the Software separate from the computer on which the Software is preloaded.
2. The Software provided herein is Commercial Computer Software under United States Federal Government Acquisition Regulations and applicable supplements.. The Software is provided to the Federal Government and its agencies with RESTRICTED AND LIMITED RIGHTS and only under the Restricted Rights Provisions of the Federal Acquisitions Regulations applicable to commercial computer Software developed at private expense and not in the public domain. The use, duplication or disclosure by the Government is subject to restrictions as set forth in applicable regulations, including subdivision (c)(1)(ii) of Rights in Technical Data and Computer Software, DFARS 52.227-7013.
3. This license is effective until terminated. You may terminate this license at any time by destroying the Software, related documentation and other materials and all copies thereof. This license will terminate immediately without notice if you breach any provision of this Agreement. Upon termination, you must destroy the Software, related documentation and other materials and all copies thereof.
4. You agree not to export the Software, except as authorized and permitted by applicable laws and regulations.
5. This license shall be governed and construed in accordance with the laws of the United States and the State of New Hampshire, without regard to principles regarding conflicts of laws, the courts of which shall have exclusive jurisdiction over any dispute arising under this Agreement.
LIMITED WARRANTY
Software media is warranted to be free from defects in material and workmanship upon delivery to you. Any media found by TLI to be defective upon delivery will be replaced at no charge to you (or the purchase price refunded, at TLI's election) upon return, postage prepaid, to TLI.
EXCEPT AS PROVIDED HEREIN, TLI MAKES NO WARRANTIES OR REPRESENTATIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED, WITH RESPECT TO THE SOFTWARE, MEDIA OR DOCUMENTATION, INCLUDING THEIR QUALITY, PERFORMANCE, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE.
TLI does not warrant that the operation of the software will be uninterrupted or error-free. No oral or written information or advice given by TLI or its representatives will create any other or additional warranties or increase the scope of this warranty.
In no event will TLI be liable for direct, indirect, special, incidental, or consequential damages arising out of the use of or inability to use the Software or documentation. In no case shall the liability of TLI exceed the amount of the license fee. The warranty and remedies set forth above are exclusive and in lieu of all others, oral or written, express or implied. Some states do not allow the limitation of implied warranties so these limitations above may not apply to you.
IF YOU DO NOT AGREE TO THE TERMS OF THIS LICENSE, SELECT "NO" AND DO NOT INSTALL THE SOFTWARE. INSTALLATION OF THE SOFTWARE WILL INDICATE YOUR ACCEPTANCE OF THE TERMS SET FORTH ABOVE.
